| Fresenius NephroCare Polska takes over chain of dialysis stations from HAND-PROD. VCP acted as the exclusive investment banking advisor to HAND-PROD. |

The biggest dialysis station operator in Poland, Fresenius NephroCare Polska sp. z o.o. (FNCP), took over 8 dialysis stations from HAND-PROD sp. z o.o. The agreement was signed on January 14, 2010, whereas the incorporation of the dialysis stations into FNCP’s operations will take approximately six months.
HAND-PROD’s decision to dispose its chain of dialysis stations was mainly driven by the change in the company’s strategy, which in turn was triggered by the transformation in the company’s ownership structure that took place in 2007. The previous strategy that assumed operating a significant number of dialysis stations as a way of risk diversification was verified. Currently, the integrity and coherence of the company is related to the fact that HAND-PROD is a part of a strong international organisation rather than through the diversification of its business activities.
Fresenius NephroCare Polska Sp. z o.o. (FNCP) is the leading non-public provider of services for patients with chronic kidney disease in Poland. It currently operates a network of 44 dialysis stations that serve over 3,000 patients. The company runs 21 clinics and 3 nephrology wards and employs ca. 1,000 people. FNCP belongs to Fresenius Medical Care Polska, a Polish affiliate of Fresenius Medical Care. Fresenius Medical Care was founded 40 years ago and currently is the world’s largest provider of products and services for patients with chronic kidney disease.
HAND-PROD sp. z o.o. was established in 1986 and is currently one of the oldest private medical companies operating in Poland. HAND-PROD supplies health facilities in pharmaceuticals, laboratory reagents, medical equipment as well as other medical products. HAND-PROD co-operates with 600 hospitals, 4,000 pharmacies, most of the pharmaceutical wholesalers and scientific research institutions. HAND-PROD’s entered the dialysis business in 2006, when it opened its first dialysis station.
